Terms of delivery

Delivery within EU countries: delivered from the central warehouse in Graz/Austria, carriage paid to the customer

Delivery within Switzerland: immediately from the new Swiss sub-store/CH-8585 Langrickenbach - carriage paid!

General Terms and Conditions (AGB) 

Scope 

These General Terms and Conditions of Sale and Delivery apply to all deliveries of goods made by INNOVA SWISS on the basis of distance selling orders. The customer accepts these General Terms and Conditions of Sale and Delivery when placing an order or at the latest when receiving the goods. Amendments or ancillary agreements must be confirmed by authorised representatives of our company entered in the commercial register in order to be valid and only apply to the individual business transaction. Our other employees are not authorised to make amendments or subsidiary agreements to these General Terms and Conditions of Sale and Delivery.

The customer's contractual conditions are expressly contradicted in their entirety. Should individual points of these General Terms and Conditions of Sale and Delivery be ineffective, this shall not affect the validity of the remaining provisions and the contracts concluded on the basis thereof. The parties shall agree on a valid provision that comes closest to the meaning and purpose of the invalid provision.

Conclusion of contract 

Our offers are entirely subject to change. Orders of the customer are the offer in the legal sense, to which the customer is bound for three weeks. The contract is only concluded by our order confirmation (invoicing) or by delivery or service. A separate notification of the customer of acceptance is not required. Our prices are quoted inclusive of the statutory national value added tax, including delivery costs and without any additional services, unless other delivery conditions or tax charges, customs duties, customs fees are stated in the respective valid price quotation in the order shop. For deliveries to countries outside of the European Union, the respective applicable delivery costs, export and import duties are also incurred.

Delivery and delivery time 

Shipment shall be made at the risk and expense of the Customer to the delivery address specified by the Customer in the order. The indication of delivery dates is not binding. Non-compliance with delivery dates shall in any case only entitle the customer to assert the right to withdraw from the contract if we do not carry out the delivery despite having set a period of grace of at least three weeks in writing.

The delivery period shall be extended by the duration of the hindrance caused by all circumstances independent of the will of the parties, such as cases of force majeure, unforeseeable operational disruptions, official interventions, delays in transport and customs clearance, transport damage, rejects of important production parts and labour disputes.

The delivery conditions and terms of delivery stated on the Internet portal and in the order shall apply.

Warranty 

Defects that occur must be reported as far as possible upon delivery or as soon as they become visible - without any adverse legal consequences for the customer, who is a consumer within the meaning of the Consumer Protection Act (KSchG), in the event of failure to do so. If the customer is an entrepreneur in the sense of the KSchG, he has to check the delivered goods or the rendered service immediately after receipt for completeness, correctness and other freedom from defects and to give written notice of any defects immediately, at the latest, however, five working days after receipt of the goods or service, otherwise he loses all claims to which he is entitled due to defects that could be detected during a proper inspection.

In case of defectiveness of the item, the customer may choose between improvement and replacement. Only if these two services are not feasible can the customer - in accordance with the statutory provisions - demand a reasonable price reduction or cancellation of the contract. If we improve a defect, this shall be done by us free of costs and expenses, whereby we can demand that the customer sends the goods to us - insofar as this is feasible - at our risk and expense. The customer is obliged to give us the opportunity to improve the goods.

Compensation

We assume no liability for damages for any legal reason whatsoever, in particular due to delay, impossibility of performance, positive violation of claims, culpa in contrahendo, consequential harm caused by a defect, defects or due to unauthorised actions, which are caused as a result of slight negligence by us or persons for whom we are responsible. Customers who are entrepreneurs within the meaning of the KSchG must prove the existence of gross negligence or intent. In the case of contracts with consumers, damage to the person and to items taken over for processing is excluded from this exclusion of liability. Terms of payment 

Our invoices are to be paid exclusively as follows:

3. credit card (Mastercard, Visa)

To point 1: The goods will only be dispatched once the full invoice amount has been received in our bank account.

To point 2: The goods will be shipped immediately after receipt of the complete invoice amount by PayPal and release by PayPal to INNOVA SWISS.to.

Regarding point 3: The credit card provided will be checked for coverage immediately after the order has been sent by the customer and will then be charged. The credit card data will not be stored in any form and will not be passed on to third parties.

Regarding point 4. voucher code orders: If you use your own voucher code for your own orders, the brokerage commission does not apply.

Re point 1: For orders below the agreed minimum merchandise value, the costs of postage and cash on delivery will be charged to the customer.

Retention of title 

The delivered items remain our sole and unrestricted property until full payment of the price including all additional charges. Until then, they are therefore only goods entrusted to the customer, which may not be sold, pledged, given away or lent. The customer is not entitled to dispose of these items without our prior express consent and bears the full risk for the goods entrusted to him in every respect, in particular also for the risk of destruction, loss and deterioration. Applicable law, place of performance, place of jurisdiction is the company's registered office; Swiss law applies.

Swiss substantive law, German official language, excluding the UN Convention on Contracts for the International Sale of Goods, shall apply exclusively to the legal relations with the customer. The place of payment and performance for all obligations arising from this contract is the registered office of INNOVA SWISS.

The Swiss court with local and subject-matter jurisdiction for CH-6300 Zug is agreed as the place of jurisdiction for all disputes arising directly or indirectly from the contract. If the customer is a consumer within the meaning of the KSchG, this place of jurisdiction is only deemed to be agreed if the customer has his domicile, usual residence or place of employment in this court district or if the customer lives abroad. We are also entitled to sue the customer at his general place of jurisdiction.

Data protection 

The customer agrees that the data provided in the context of the order and order processing will be collected, processed, stored and used for the purposes of our accounting department and for internal market research and marketing purposes. The data will be used by us to comply with legal regulations, to process payment transactions and for advertising purposes.

Do not misuse brand names 

As a partner, customer of INNOVA SWISS, brand names may not be misused online or via search engines that may cause irritation with the brand.

Right of withdrawal according to § 5 e KSchG. 

The customer, who is a consumer within the meaning of the KSchG, may withdraw from a contract concluded by distance selling or a contractual declaration made by distance selling until the expiry of the deadlines specified below. It is sufficient if the declaration of withdrawal is sent within the deadline. The withdrawal period is seven working days, whereby Saturday does not count as a working day. It begins on the day the order is received by the supplier (INNOVA SWISS).

Others 

Deliveries and declarations of intent shall be made legally effective to the address specified by the Customer in the order until written notification of a different address. The customer is obliged to provide the relevant data requested in the shop completely and correctly when ordering. In the event of incorrect, incomplete and unclear information provided by the Customer, the Customer shall be liable for all costs incurred by us as a result; the same shall also apply to costs incurred by us as a result of non-acceptance of the goods by the Customer or recipient. The customer is obliged to inform us immediately and in writing of any changes of name, address or change of domicile in the event of any other compensation for damages. In the event of failure to do so, any written notification sent to the last known address of the customer shall be deemed sufficient to meet the requirements of effective delivery.

Any transfer of rights from the contract concluded with us to third parties requires our written consent. We are entitled to do so. An order is only possible if all mandatory fields (fields marked with an asterisk) are filled in. The customer is aware that the Internet is not a secure communication medium and that data sent via the Internet can, on the one hand, become known and, on the other hand, can be changed by third parties. The customer bears the risk that data does not reach us or does not reach us in the form in which it was sent. We may rely on the fact that the data was sent by the customer in the form in which we receive it.
